CONDITIONS OF USE OF THE HAYA REAL ESTATE, S.A.U. PROCUREMENT PORTAL

Legal Notice

1. Scope of application
This legal notice contains the rules that regulate registration, access and use of the HAYA REAL ESTATE, S.A.U. Procurement Portal https://compras.haya.es/ and the responsibilities derived from its use.
It is understood that access to or the mere use of this portal implies that the user adheres to all the conditions that are published at the time of accessing or using the website.

2. Owner
The owner of this portal is HAYA REAL ESTATE, S.A.U. (hereinafter, HAYA), with registered office at Vía de los Poblados, 3 – Edificio 1 - 28033 Madrid, Corporate Tax ID No. A86744349 and telephone 901 11 77 88; Registered in the registered in the Madrid Commercial Registry in Volume 31,153, Section 8 of the Companies Book, Folio 10, Page M-560,663.

3. Access to the portal
Registration as a supplier on HAYA's Procurement Portal is conditional on the user having read and accepted the conditions that govern the Conditions of Use of this portal. Users may not register without accepting them. Whenever you access and use the Portal, it is understood that you agree, expressly, fully and without reservation, with all of its content. Similarly, as you are the main user for your company, you are obliged to accept compliance, to ensure compliance by all users in your company who register, freeing HAYA from all responsibility for any possible damage that these users may cause to your company or any other due to their actions on the Portal.

4. Purpose of the HAYA Procurement Portal
The HAYA procurement portal is the means through which HAYA communicates with its suppliers to request offers, documents and commercial information. At the same time, HAYA may use the portal to send you any information it deems to be of interest. HAYA acts as a direct buyer and as a purchasing manager of its customers, and acts on their behalf during the purchase process. The use of or access to the Portal and/or the Services do not confer any right to the SUPPLIER over the brands, trade names or distinctive signs that appear in it, which are the property of HAYA or of third parties. Consequently, the contents are the intellectual property of HAYA or of third parties, without being understood as being assigned to the SUPPLIER.

5. Purpose of the agreement
The purpose of this agreement is to regulate the relations between HAYA and the SUPPLIER on all matters related to the use of the Portal.

6. The SUPPLIER's obligations
The Supplier's obligations are:

a. Provide any data required for the correct operation of the system and ensure it is maintained updated, communicating any changes as soon as possible.

b. Guarantee the authenticity of the data provided as a result of completing the forms required to subscribe to the Services. The SUPPLIER will also update the information provided so that it reflects the actual situation at all times. The SUPPLIER is therefore solely responsible for damages and losses caused to HAYA as a result of inaccurate or false statements.

c. Maintain absolute confidentiality in relation to all the information generated in the relations between the SUPPLIER and HAYA.

d. Refrain from any manipulation in the use of the Portal and from using it for purposes other than those for which it is intended. The SUPPLIER must also refrain from accessing unauthorised areas of the Portal.

e. Faithfully fulfil your commitments in the information sent through the portal. In the event that the SUPPLIER does not demonstrate the necessary commercial diligence, or fails to comply with the obligations contracted, HAYA reserves the right to temporarily or permanently exclude the SUPPLIER from the portal.

f. The SUPPLIER must indicate only the groups of materials that refer to goods or services that, at the time of accepting the agreement, the supplier markets, manufactures or distributes and that are of commercial interest to HAYA.

g. The SUPPLIER accepts that the offers introduced on the Portal are considered with the same range and validity as an offer sent by any other traditional means (letter, fax).

h. The SUPPLIER undertakes to make use of the Portal and the Services pursuant to the law, having read and accepted this legal notice and other regulations of use and instructions, and to ensure morality and generally accepted good customs and public order. It shall therefore refrain from using the Portal or any of the Services for purposes that are illegal, prohibited in this legal notice or harmful to the rights and interests of third parties. In particular, and as merely indicative, the SUPPLIER undertakes not to transmit, disseminate or make available to third parties the information, data, content, graphics, sound and/or image files, photographs, recordings, software and, in general, any kind of material that:

1. Is contrary to the fundamental rights and public liberties recognised in the Spanish Constitution, international treaties and applicable laws;

2. Induce, incite or promote activities that are criminal, contrary to the law, morality and generally accepted good practices or public order;

3. Is false, inaccurate or misleading, or constitutes illicit, deceptive or disloyal advertising;

4. Is protected by intellectual or industrial property rights belonging to third parties, without their authorisation;

5. Violate any rights of honour, privacy or self-image;

6. Violate the rules on secrecy of communications;

7. Constitute unfair competition or damage the business image of HAYA or third parties;

8. Is affected by viruses or similar elements that may damage or impede the correct functioning of the Portal, the computer equipment or its files and documents.

7. The SUPPLIER's rights
The SUPPLIER's rights are:

1. To maintain constant presence in the HAYA database, as a registered supplier.

2. Receive requests for offers under the established rules.

8. HAYA's obligations
HAYA's obligations are:

a. To ensure the information is maintained in a timely manner and updated. It shall not be responsible for errors that occur due to force majeure or fortuitous event.

b. To maintain absolute confidentiality of all the information related to the supplier: either the information that is provided by it or that is generated in the relations between the SUPPLIER and HAYA.

c. Provide the supplier, at any time, the status of their data in the database, and not provide it to third parties unless it is to allow the supplier to present its offers and take their products into consideration as an alternative supplier. It must also provide the status of its data in the database at all times, so that the latter, upon prior notification in writing, may modify or delete it.

9. HAYA's rights
In the event of breach of its obligations by the SUPPLIER, opt to demand due compliance or the termination of the Agreement, under the terms of condition 9.

10. Limitation of liability

a. HAYA does not assume any responsibility derived from the system being unavailable or network or technical failures that cut operation of or access to the Portal. Similarly, HAYA is not responsible for any damages that may cause computer viruses or other elements in the system.

b. HAYA assumes no responsibility for payments and/or claims arising from customers' actions in relation to the Agreement between these customer(s) and the SUPPLIER.

c. HAYA assumes no responsibility for any action that is contrary to laws, customs and practices, or that violates the obligations set forth in this legal notice, by any person at HAYA, by the SUPPLIER or any user of the network. However, when HAYA has knowledge of any conduct referred to in the above paragraph, it will adopt the necessary measures to resolve it with the utmost urgency and diligence.

d. HAYA disclaims any liability arising from intrusion by unauthorised third parties in the knowledge of the conditions and circumstances of use that SUPPLIERS make of the Portal and the Services.

11. Resolution of the Agreement
In the event of breach of any of the obligations contained in this legal notice, the SUPPLIER or HAYA must notify such breach to the party that committed it, ensuring it is corrected within a period of fifteen business days from the notification date. Once this period has transpired without the breach having been rectified, the other party may opt to comply with or terminate this Agreement, with compensation for damages in both cases, pursuant to Article 1.124 of the Civil Code. If termination is decided, both the SUPPLIER and HAYA accept that simple notification is sufficient for the termination to be fully effective.

12. Duration
This Agreement has an indefinite duration as long as there is no written complaint from either of the parties, at least one month in advance.
The procedure to cancel is to send an e-mail with Subject "De-register from the portal" to the address soporteproveedores@haya.es, indicating the basic SUPPLIER identification data.

13. Notificacions
Notifications between the parties may be made by any method admitted by law that provides proof of receipt, including fax.

Privacy policy

Pursuant to the General Data Protection Regulation (GDPR), please be advised that Haya Real Estate, S.A.U. (hereinafter, "HAYA") is the Data Controller, with Corporate Tax ID No. A86744349 and registered address at Vía de los Poblados, 3 – Edificio 1 - 28033 Madrid (Spain). HAYA has appointed a Data Protection Delegate, who can be contracted via oficinadpo@haya.es.

Your personal data will be processed in order to manage the relationships established between you and HAYA. The basis of legitimacy for processing your data includes execution of the Agreement between the parties and pre-contractual application measures.

HAYA will maintain your personal data for as long as the contractual relationship is valid and, in any case, for as long as there may be responsibilities between the parties.

Please also be advised that your data will be transferred to the companies to which HAYA provides services, to the associated companies or the group, as well as to others with which it formalises agreements for the sole purpose of providing the best service and always respecting Spanish personal data protection laws. This data transfer is an essential requirement to formalise this Agreement. If such consent is not provided, this Agreement cannot be formalised.

In the event that you provide to HAYA personal data relating to natural persons in you organization, these data will be processed by HAYA for the sole purpose of managing the relationships established between HAYA and you as supplier, whose legal basis of legitimacy is the performance of the contract between the parties. In this respect, HAYA will only require identification or contact data when they are necessary for the provision of services.

The supplier will inform its employees or partners that personal data provided to HAYA belongs to their professional sphere, therefore HAYA does not request under any circumstances data related to their private sphere.

HAYA reserves the right to check all the data you provide and to verify compliance with the obligations set forth in the different legislation applicable to the different sources available to HAYA, and to request information that demonstrates the statements made.


The information sent to HAYA through this procurement area becomes part of the HAYA supplier database. You have the right to consult and modify your data or unsubscribe from the database. If you wish to unsubscribe and NOT receive offer requests or information, send an email to soporteproveedores@haya.es, indicating: "Unsubscribe" in the subject line.

You can also exercise your rights to access, modify, delete, transfer, limit or oppose the processing of your personal data by writing to Calle Medina de Pomar 27, 28042 Madrid or by sending an email to protecciondedatos@haya.es attaching a National ID No. or equivalent identification document. Please also be advised that you have the right to lodge a complaint with the supervisory authority (in Spain, the Spanish Data Protection Agency).
